Terms & Conditions

These terms govern your relationship with The Ready Company Services Ltd. Please read them carefully before using our services or website.

1. Purpose of this Agreement

This Terms and Conditions sets out the basis on which the company, The Ready Company Services Ltd, will provide professional services to clients as a Limited Company. It outlines the responsibilities of both parties, the scope of services, confidentiality, fees, complaints procedures, and continuity arrangements, in accordance with CIMA’s regulatory requirements.

2a. Scope of Services

The Ready Company Services Ltd will provide the following services as agreed with each client:

  • Bookkeeping

  • Self‑assessment tax return preparation

  • Accounts preparation

  • Budgeting and forecasting

  • Other similar accounting and financial support services as agreed.

  • Virtual Personal Assistance and other Business Admin

  • Additional services may be provided as agreed in writing from time to time

The specific services for each client will be confirmed in writing before work begins.

2b. Changes to Scope

If the scope of work changes, becomes more complex than originally described, or requires additional time due to information provided/found later, the fee may need to be revised. Any changes will always be discussed and agreed with you before further work continues.

3. Responsibilities

  • To perform services with reasonable skill, care, and diligence.

  • To comply with the CIMA Code of Ethics and all relevant legislation.

  • To maintain client confidentiality at all times.

  • To keep appropriate records of work undertaken.

  • To notify clients of any issues that may affect the delivery of services.

Client Responsibilities

  • To provide accurate and complete information in a timely manner.

  • To maintain responsibility for all decisions based on the information provided.

  • To retain responsibility for compliance with HMRC and other regulatory bodies.

  • To approve all submissions before they are filed.

  • The Ready Company Services Ltd cannot be held responsible for delays or penalties arising from the client’s failure to provide information on time.

4. Fees and Payment Terms

Fees will be agreed with the client before work begins. Payment terms will be confirmed in writing for each engagement.

Payments for services are due before work commences, unless alternative arrangements have been agreed in writing between The Ready Company Services Ltd and the client.

Fees are payable in accordance with the agreed payment terms. Interest may be charged on overdue amounts in line with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Confidentiality

All client information will be treated as strictly confidential. We may use carefully selected subcontractors to support the delivery of our services. Any subcontractors engaged will operate under strict confidentiality and data‑protection agreements, and all processing will comply with UK GDPR, including appropriate international transfer safeguards where applicable.

6. Data Protection

Client data will be handled in accordance with UK GDPR and the Data Protection Act 2018. Information will be stored securely and used only for the purposes of providing the agreed services. We may use carefully selected subcontractors to support service delivery. Where subcontractors are involved, all processing will be carried out under strict confidentiality and data‑protection agreements, including appropriate safeguards for any international data transfers.

7. Complaints Procedure

If the matter cannot be resolved, clients may escalate the issue to CIMA’s Professional Standards Department.

We aim to resolve all concerns promptly and professionally before escalation becomes necessary.

8. Continuity of Practice Arrangement

In the event that The Ready Company Services Ltd is unable to continue providing services due to illness, incapacity, or other unforeseen circumstances, a continuity partner has agreed to provide support.

This arrangement ensures continuity of service for clients in accordance with CIMA requirements. Please email us on info@thereadycompany.co.uk if you would like further details.

9. Limitation of Liability

The Ready Company Services Ltd maintains professional indemnity insurance in accordance with CIMA’s requirements.

Liability for services provided will be limited to the level of professional indemnity insurance held at the time of engagement. Details will be provided to clients upon request.

We will not be liable for any indirect, consequential, or economic losses arising from the services provided.

10. No Guarantee of Outcome

The Ready Company Services Ltd will perform all services with reasonable skill, care, and diligence. However, we do not guarantee any specific outcome or result from the services provided.

For accounting and tax services, we cannot guarantee HMRC decisions, processing times, or the avoidance of penalties where information has been provided late, inaccurately, or outside our control.

For Virtual Personal Assistance, Business Admin, CV writing, career support, or any other administrative or digital services, we cannot guarantee job offers, interviews, business results, or any particular performance outcome.

All decisions and outcomes remain the responsibility of the client.

11. Termination of Engagement

Either party may terminate the engagement by giving reasonable written notice. All fees for work completed up to the date of termination will remain payable.

12. Refunds & Cancellations

Payments for services are non‑refundable once work has commenced, as our services involve time, expertise, and in many cases the creation of digital or professional deliverables.

If a client chooses to cancel before any work has begun, a refund may be issued at our discretion, minus any reasonable administrative costs already incurred.

Where a client cancels an order after work has commenced, The Ready Company Services Ltd reserves the right to deduct any reasonable costs already incurred, including subcontractor fees, from any refund that may be issued.

No refunds will be provided for completed work or for digital deliverables that have already been produced or delivered, whether in full or in part.

If The Ready Company Services Ltd is unable to deliver the agreed services due to circumstances within our control, a full or partial refund will be offered.

13. Acceptance of Terms

These Terms of Engagement form the basis of the professional relationship between The Ready Company Services Ltd and its clients. Acceptance may be provided in writing, by electronic signature, or by instructing us to commence work, which will be deemed to constitute acceptance of these terms.
